1. BeeQuu Services
BeeQuu.com is an innovation marketing and crowdsourcing platform which allows users to create content items and use content, applications and other features. BeeQuu provides its services in Bad Camberg, Germany and is operated by the HoyerValley Ltd. & Co. KG (in the following: "BeeQuu"). The BeeQuu services are provided on basis of the following Terms and Conditions. By browsing the BeeQuu website, using BeeQuu services, registration and/or log-in users confirm that they have read and understood and do accept these Terms and Conditions. If users do not accept the Terms and Conditions they are not authorised to use BeeQuu services and shall leave the BeeQuu website immediately.

2. Registration
Users are obliged to provide accurate and true registration information, including but not limited to user's full name, user's full address and a valid e-mail-address.

3. Content
Content means all data, information, files, images and/or publication which are made available by or through the BeeQuu website or its users including but not limited to:

Ideas, inventions and innovation items
Ideas, inventions and innovation content items relate to users' ideas, inventions, patents and other innovations.

Open calls
An open call is a tender to solve a concrete scientific, industrial or other problem or any other invitation to participate in design, product development or innovation processes.

Profiles
Users might publish their personal profile and give some detailed information about themselves.

4. Rights and Obligations

4.1 BeeQuu provides the technical platform for users to publish and view content, interact, communicate, find investors and business partners. If users enter into contracts using the BeeQuu platform, BeeQuu is in no case contracting party of such contracts.

4.2 Users are solely responsible for the content they publish. BeeQuu has no permanent content control or monitoring process in place to review content. BeeQuu does not make any warranties or representations regarding any content provided or made available by any user. In particular, BeeQuu does not warrant or represent that content is true or accurate, or that it fulfills or serves any particular purpose.

4.3 Users are not allowed to provide any content which is offensive, criminal, illegal, violates law or rights of others or relates to such activities ("prohibited content").

4.4 Users have to verify carefully that innovation ideas or any other content they publish does not contain intellectual property of others. It is expressly forbidden to use, advertise, promote, offer, distribute or publish without authorisation any content or materials which are protected by law, especially by intellectual property rights.

4.5 Users are not allowed to annoy other users, send junk, mass or chain mails, use other users' accounts, disclose passwords and/or login information to third parties, misuse other users' personal data, use the BeeQuu services in an automated way and/or show advertising banners or text links.

4.6 BeeQuu reserves the right to delete any content which infringes these Terms and Conditions as well as the accounts of users breaking these Terms and Conditions immediately and without giving reasons and to take appropriate legal action.

5. Fees
Fees for services are listed on the BeeQuu fee schedule. BeeQuu reserves the right to introduce and/or change fees for parts or all of its services at any time.

6. Liability
Liability of BeeQuu is restricted to intend and gross negligence. In case of ordinary negligence, liability is restricted to those cases where BeeQuu breaches an essential contract obligation and shall be limited to typical and forseeable damages.
These limitations of liability shall not affect personal injury, death and property damage claims based on the German Product Liability Act.

7. Indemnification
You agree to indemnify and hold harmless BeeQuu, its subsidiaries, affiliates, their respective officers, agents, partners and employees, from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the BeeQuu services in violation of this Terms and Conditions and/or arising from a breach of this Terms and Conditions and/or any breach of your representations and warranties set forth above and/or if any content that you post on or through the BeeQuu website causes BeeQuu to be liable to another, provided that this was caused by culpable conduct.

8. Final Provisions

8.1 These Terms and Conditions form the complete agreement between BeeQuu and the user. BeeQuu reserves the right to change and/or amend these Terms and Conditions at any time without giving reasons. Amendments or changes must be in writing.

8.2 If any provision of these Terms and Conditions is, for any reason, invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace an invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent and economic effect of the invalid and/or unenforceable provision. This also applies to contractual loopholes.

8.3 These Terms and Conditions and the contractual relationship shall be governed by German Law, excluding international private law and the provisions of the United Nations Convention on Contracts for the International Sale of Goods that have been adopted by German Law. Place of jurisdiction, insofar as legally admissible, shall be Limburg a.d. Lahn / Germany.
